LEGAL STUFF

Please read this carefully, as the following terms govern your submission and create a legal contract between you and me, Elizabeth DePalmer. By submitting your materials, you agree to these terms & conditions. All related questions should be directed to edwardsabbey@gmail.com.

1. Entry Materials. To submit your entry, please follow the instructions for submitting (A) a completed information sheet and (B) your original submission, which should be in the following format: email, together with the entry form. You can submit multiple entries, but each must be submitted separately and each with its own separate entry form. Submissions by two or more co-authors must reflect full details of all co-authors in the entry forms. You may submit your Entry Materials by e-mail to edwardsabbey@gmail.com. I will only use your name, e-mail address and other personal information to communicate with you in connection with your submission, except that the winners name(s) and home town may be reported on this website and elsewhere, including the credit described in paragraph 6 below and I may also elect to report the names and home towns of runners-up or authors of other notable submissions. Any incomplete or inaccurate submissions are void and will not be considered. Entry Materials will not be returned.

2. Deadline. All submissions must be received before midnight (Pacific Time) on September 21st, 2012. I expect to announce the winning submission by October 5th, 2012. All dates and times are subject to change. I can not responsible for late, lost, damaged, misdirected, stolen, corrupted or misappropriated entries, nor for Internet delay or failure, outages or overload of the Website, faulty file uploads accompanying online entries, or other occurrences beyond its reasonable control.

3. Eligibility and Restrictions. This process is open only to persons 18 years of age or older as of the date their entry is received. Eligibility is subject to verification, and I may require a copy of your passport, drivers license, birth certificate or other reasonable proof of age and/or residence and may require the winner to sign any reasonably necessary additional documents to reflect these terms. If you reside outside the U.S., you acknowledge that this process and these terms are governed exclusively by the laws of the State of California, U.S.A. and you agree to bear sole responsibility for any inconsistency between such laws and those in other jurisdictions. If you are ineligible or provide false, incomplete or inaccurate information, you may be immediately disqualified. Participation is void where prohibited by local laws, rules and regulations, and residents of such locations may not submit their materials.

4. Submissions. All Entry Materials must be in the English language and be 100% your original work (i.e., they cannot contain anything copied or borrowed from another source). Submissions must not contain obscenity, defamatory or libelous material, unauthorized copyrighted material, or anything else reasonably likely to be considered inappropriate, unsuitable or offensive, in my discretion.

5. Judging. I will choose the winning submission in my sole and absolute discretion. See my "keys to success" for parameters. My decision will be final. If the winner or the winning submission are ineligible for any reason, I may choose an alternate winner but will not be obliged to do so.

6. Prize. The winning submission will be partly or wholly incorporated into a screenplay, which I intend to write or have written. If (and only if) the screenplay incorporating some or all of the winning submission is optioned or purchased by a film production or distribution company or similar entity, then I will pay the winner $2,000 U.S. Dollars within 30 days after I receive the corresponding fee, advance or purchase price. The winner will also receive a credit of some kind in connection with the resulting screenplay and if the screenplay results in a commercially released film, then subject to the approval and discretion of the films producer, the winner will also receive a credit in the film. The exact nature and placement of the credit is subject to my and the producers discretion. Prizes will be awarded to the person(s) named on the entry form division of any prizes among any co-authors is solely between them. Prizes are non-transferable and the winner will be responsible for all taxes due. The odds of being chosen as the winner will depend on the number and quality of eligible submissions received.

7. Grant of Rights.

​

A. All Contestants. If you are not selected as the winner, then you retain ownership and all other rights (including copyright) in your submission. In any case, you irrevocably grant to me and my licensees the non-exclusive right to use your name, home town (city, state, country), and your submission itself for advertising and promotional purposes in connection with this contest without compensation, worldwide and in perpetuity, in any and all forms of media, now known or hereafter devised.

B. Winner. If you are selected and qualify as the winner, then in addition to the preceding paragraph, your submission will be deemed a work made for hire for me, specially commissioned for use as a contribution to a collective work, under U.S. copyright law. In other words, I will own your submission and have the right to edit it, re-write it, create derivative works from it, copyright it and the resulting screenplay in my own name, etc. If for any reason your submission is deemed not to qualify as a work-for-hire, then you irrevocably and forever assign all of your worldwide rights (including copyright) in the submission to me, including all extensions and reversions, and waive any moral rights so that I have the rights described in the prior sentence. The prizes described above will be your sole compensation and you wont be entitled to any royalties, profits or other amounts.

8. Miscellaneous. This contest is void in any jurisdictions where and to the extent prohibited by applicable law, and is subject to all applicable laws, including, without limitation, U.S. federal, state, and local laws and regulations. If, for reasons beyond my control, the contest is not capable of running as originally planned, I may, in my sole discretion, reserve the right to postpone or modify or cancel the contest, without liability, in which case I will use reasonable efforts to post notice on this website. All interpretations of these rules and decisions by me are final. You may not assign, delegate or otherwise transfer any or all rights or responsibilities hereunder. I may assign, delegate or otherwise transfer any or all of my rights and/or responsibilities hereunder. You represent and warrant to me that your Entry Materials and all other information and materials provided to me are original, true, complete and correct in all material respects and do not violate any law or violate or infringe the rights of any person or entity. I will have no liability for, and you release and agree to defend, indemnify and hold me and my licensees harmless from and against, any and all damages, costs, losses and/or liability resulting from or associated with your Entry Materials, participation in this contest, breach of these terms & conditions, or any use, misuse, acceptance or possession of any prize. My liability is limited to the value of any cash prize to which such contestant may be entitled hereunder.

9. Governing Law and Forum. THE INTERNAL LAWS OF THE STATE OF CALIFORNIA SHALL GOVERN THIS CONTEST WITHOUT REGARD TO CONFLICT OF LAWS PRINCIPLES, AND THE STATE AND FEDERAL COURTS LOCATED IN SAN FRANCISCO COUNTY, CALIFORNIA, U.S.A. SHALL HAVE EXCLUSIVE JURISDICTION OVER ANY CONTROVERSIES REGARDING THE CONTEST. EACH CONTESTANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE EXCLUSIVE JURISDICTION OF THOSE COURTS.
